How to Register a Sole Proprietorship in PEI

PEI business registration for a sole proprietorship is handled by the PEI Corporate Registry through its Online Corporate Business Registry, known as OCBR. If you intend to trade under a name that is anything other than your own legal name, you reserve the name, pay the fee, and receive a Certificate of Registration valid for three years. Do you need to register your PEI sole proprietorship?
Not always. Prince Edward Island does not require a sole proprietor to register when the business operates under the owner's exact legal name. “Michael Smith” trading as Michael Smith is not a registrable business name. However, adding any prefix or suffix — “Smith Landscaping”, “M. Smith Consulting”, “Island Fresh Bakery” — creates a business name that must be registered under provincial rules. Registration also matters practically: banks, insurers, payment processors and wholesale suppliers often ask for a Certificate of Registration before opening an account in the business name. How to register a sole proprietorship in PEI, step by step
The Registry handles name searches, reservations, registration and renewals online through OCBR. The process is:
- Create an account in the Online Corporate Business Registry (OCBR).
- Select “Reserve a name”, choose business type Sole Proprietorship, and pay the non-refundable search fee — $40 for an Atlantic Canada-only search or $50 for a Canada-wide search.
- Wait for the name to be reviewed and approved, which the Registry says typically takes about 5 business days.
- Once approved, choose “Register Sole Proprietor”, enter the Company PIN and Key you receive, complete the application, and pay the $90 registration fee.
- Receive your Certificate of Registration by email. The registration is valid for three years.

Renewing your registration every three years
A PEI sole proprietorship registration does not last forever. It runs for three years from the date of registration, and you renew it in OCBR for $75. There is a grace window: after the expiry date you have six months before the registration is marked “inactive due to non-payment”. Letting it lapse can disrupt bank accounts, contracts and supplier relationships, so diarise the renewal date. After registration: Business Number, GST/HST and tax filing
Registering the name does not automatically create a Business Number (BN). You request a BN from the CRA when you need one — for example, to register for GST/HST once you exceed the small-supplier threshold, to open a payroll account and withhold CPP and EI for employees, or to receive T4A slips from clients. These program accounts can be managed through CRA My Business Account.
On the income tax side, a sole proprietor reports business income on Form T2125, filed with the personal return. Business income is taxed at your personal marginal rate, and CPP contributions apply to net self-employment income — confirm current rates and thresholds on the CRA website. Before you reserve anything, check that the name is available and not misleadingly similar to an existing business.
